Pan Jam director sells 2.5m shares

pan_jamaican_logo280x150There are times when trading by insiders may be significant and investors would be smart to take note of it. A recent trade in Pan Jamaican Investment Trust shares by a director seems to be worthy of note.
The company this week informed the Jamaica Stock Exchange that a Director sold 2,508,590 of the company’s shares on September 30.
The sale comes against the back ground that Pan Jamaican reported net profit attributable to owners for the quarter ended June of $867 million, compared to $853 million in the similar quarter of 2015, a mere increase of 2 percent, equivalent to basic earnings per share of 83 cents. Net profit attributable to owners for the six months ended June 30, amounted to $1,589 million, compared to $1,395 million for 2015, an increase of 14 percent, equivalent to earnings per stock unit of $1.50 compared to $1.33 for the same period in 2015.
The year to date net profit, includes the impact of a gain of $185 million realized on the sale of the group’s interest in Hardware & Lumber during the first quarter of 2016.

$18.50 offer for H&L shares

H&LHardware & Lumber gets offer from the new majority shareholders Argyle Industries to buy for cash the 33,764,719 ordinary stock units not already owned by the offeror. The purchase price is J$18.50 per stock unit, the same price Grace Kennedy sold their majority holding to the company for in December last year.
On December 30 Argyle Industries Inc. announced that it had acquired approximately 58.23% of the issued stock units of H&L Shares. As a result of the Offeror acquiring over 50% of the issued ordinary stock units of the Company it became obliged under the Securities Act to make the offer to the minority.
The offer was received by the Hardware & Lumber board who advices, that a special subcommittee of the Audit Committee to comprise directors unconnected to Argyle or to any other significant shareholder of H&L will be appointed. This sub-committee will have a mandate to propose for adoption a recommendation as to acceptance or rejection of the Offer for inclusion in a directors’ circular to be issued by the Board containing all relevant information required for the benefit of H&L’s stockholders, in compliance with all regulatory requirements.

The closing date for acceptance March 4. Hardware and Lumber reported profit after tax for the nine-months ended September 2015 of $64 million, 43.2 percent less than the $113 million for the same period in 2014 from revenues that were up 2.3 percent to $5.373 billion.

IC BUY RATED stocks were top of the Caribbean markets in Jamaica and Trinidad and Tobago for 2015, with Jamaica Stock Exchange share, chalking up a massive gain of 830 percent since IC Insider elevated it to BUY RATED status.Caribbean Cement followed with gains of 640 percent, Caribbean Cream with 444 percent and Trinidad Cement with a 299 percent increase on the Trinidad market.
While it was easy to make money in Jamaica, with profits rising and interest rates falling, developments in Trinidad went in the opposite direction, with interest rates rising and profits under pressure with the economy ended in recession.
At the beginning of 2015 of the 14 junior market selections, few recorded gains and only Knutsford Express with a 17 percent increase reflecting any meaningful positive movement. Losses were large, with AMG Packaging down 39 percent, Blue Power 31 percent, Caribbean Cream 23 percent, Jamaica Teas 28 percent, Lasco Financial 37 percent and Lasco Manufacturing 32 percent. What a difference a year can make? By the end of 2015, gains were all over the place with the list having 17 companies with two being dropped. There were no losing stocks in the list that had a new addition, tTech which could be listed this week. Honey Bun was added to the listing in November and gained 9 percent since. Eight stocks have more than doubled, four gained 40 percent to 91 percent. Caribbean Cream jumped 292 percent to be the top selection in this market, followed by Lasco Distributors up 274 percent. Blue Power was removed from the list in July with a small gain.
In the JSE main market, at the start of 2015, Hardware and Lumber was the best performing stock with gains of 62 percent followed by Cable & Wireless with 47 percent and Jamaica Broilers had the worst performance with a loss of 24 percent. In all, 7 of the 15 selections were lower than at the time they were BUY RATED.
By year-end, all selections in the JSE main market were up, with Scotia Investments having a mere 15 percent increase, being the poorest performer. This stock is being moved to Market Watch as the 2015 profit performance was far too disappointing to warrant buying now, while Hardware and Lumber remains a hold. The rest, present opportunities for continuing profit making. BUY Rated fn 12-15JMMB Group ended with just 28 percent gain, but seems undervalued at the current price. While the list had a few lousy performers, the same can’t be said about a 640 percent gain in Caribbean Cement and 830 percent increase for Jamaica Stock Exchange share. In all, 9 stocks posted gains in excess of 100 percent and 4 below 100 percent but with a 50 percent increase and more.
There were 13 selections in the Trinidad market with Trinidad Cement being the best performer with gains of 150 percent, the next was Point Lisas with 11 percent at the start of 2015. Five stocks suffered losses with the highest being 22 percent and the next 18 percent. For 2015 the price of Trinidad Cement is up 299 percent followed by National Flour with a 59 percent gain.
Looking ahead, the junior stocks should continue to grow, with several of the companies actively expanding resulting in profits climbing at a fast pace. There are a few stocks to be cautious of just now. Lasco Distributors selling at almost 16 times 2016 March earnings. Growth should be strong but unless investors have a long term objective they should be careful buying at current price level, the same applies to Lasco Financial that is selling at 15 times earnings. Dolphin Cove remains a hold at this time.
The Trinidad market needs to be watched at this stage, with the country needing to adjust to the lower price of oil and the recession now being endured.

The Jamaica Stock Exchange saw low activity with only 24 securities trading, the volume increased sharply from recent trading days with Cable and Wireless trading almost 11 million shares and Ciboney with just over 4 million units than on Thursday. At the close there were 11 stocks rising to 4 declining. The market closed with 24 totalling 18,198,760 units, valued at $28,814,733 changing hands traded in all market segments.
The main market indices enjoyed a second day of increases with the JSE Market Index gained 89.23 points to 95,827.25, the JSE All Jamaican Composite index added 99.71 points to 106,048.63 and the JSE combined index rose 167.49 points to end at 99,045.89.
IC bid-offer Indicator| At the end of trading, in the main and junior markets, the Investor’s Choice bid-offer indicator had a reading of 16 stocks with bids higher than their last selling prices and 8 with offers that were lower. JSE Sum -24- 9-15
This is an indication that while there is buying interest above current prices for a large number of stocks, there are still a noticeable number of stocks that investors want to be out of, at lower prices, than the last selling price.
Stocks that particularly weak are Hardware and Lumber with a last sale of $13 now being offered at $11.50. Grace Kennedy reported earlier in the year that they were considering an offer for this subsidiary at a maximum price of $18.50 and that the deal should be closed by the end of July. To date there has been no further information on the buy out offer, even as the July deadline is long past. Sterling Investments with a last sale of $13.40, now have on offer at $13.15, 242,600 units and no bids to buy.
Trading in the main market ended with Berger Paints trading 20,000 shares at $2.28, Cable and Wireless slipped 1 cent with 10,774,000 shares changing hands, to close at 49 cents. At the close the stock had 1,122,637 units on the bid at 48 cents and 172,996 units on offer at 51 cents. Carreras traded 224,067 shares at $49.50 while gaining 50 cents, Ciboney Group with 4,365,250 shares at 9 cents, Desnoes & Geddes ended with 135,000 shares trading with a 35 cents gain to close at $6.50, Jamaica Broilers had 35,930 units trading at $6.09, JMMB Group traded at $7.63 with 10,984 shares changing ownership. JSE fn qts 24-9-15 Mayberry Investments had 160,100 shares trading at $2.80, National Commercial Bank had 81,100 units changing hands and ended at $27.76 while losing just 1 cent, Sagicor Group with 80,000 shares trading, closed 1 cent higher at $12.82, Scotia Group traded 52,000 shares to close with a rise of 2 cents to $23.77. Scotia Investments traded 10,110 shares in closing at $24.53 with a gain of 1 cent, Jamaica Money Market Brokers 7.50% preference share 313,046 units at $2 and Jamaica Money Market Brokers 8.75% preference share 1,841,065 units at $2.50 fo a rise of 1 cent.

$18.50 per share max price for H&L

True Value FairfieldGrace Kennedy is advising that the terms to dispose of their holdings in Hardware and Lumber (H&L) include a maximum price of J$18.50 per ordinary share subject to conditions and with completion anticipated by the end of July.
The above price is just around book value at the end of March this year and would give Grace Kennedy who owns 58.1 percent of the 80.842 million shares in issue, $845 million.
Don Wehby CEO of Grace indicated that the agreement is conditional and stated that “GraceKennedy is looking forward to the conclusion of the transaction in a timely manner and will communicate further as soon as it is finalized.” He reiterated that Grace Kennedy’s decision to sell its shares in H&L was a strategic one, having regard to its core strategy of expansion in the foods and financial services sectors. He added, “We feel very positive about the continued growth of H&L under the prospective new owners who have signalled that they are excited about the possibilities for the future”.
H&L currently comprises two separate divisions – Rapid True Value local supplier of hardware and home improvement products, and the Agro Grace business, local wholesaler and retailer of agricultural products.
There are currently 10 Rapid True Value outlets across Jamaica, along with six Agro Grace Retail Centres. The company is headquartered at 697 Spanish Town Road in Kingston.
Grace HStGreystone Equity Partners Inc. the proposed purchaser is a Caribbean based and Caribbean focused private equity firm with a stated strong commitment to the Caribbean.
H&L reported profit in 2014 of $217 million or $2.69 per share. Profit after tax for the three-month ended March, 2015 was $34.5 million, 14.5 percent less than the $40.4 million for the same period last year and earnings of 43 cents per stock unit, compared to 50 cents for the comparative period in 2014 after revenues fell 4.5 percent to $1.73 billion.

At the end of trading on the Jamaica Stock Exchange on December 19th last year, the all Jamaican index closed at 78,305.80 and has since gained 6.6 percent as of Friday December 19, this year, to 83,475.02.
In contrast to the main market junior market stocks have not fared as well and closed on December 19 last year at 768.16, this year the index is at 679.54 points down by 11.5 percent.The two indices closed out 2013 at 81,850.04 and 757.86 so far the main market stocks collectively are up just 2 percent while the juniors are down 10.3 percent. The main market gains will be higher, at the end of the year, if history is anything to go by, and the junior market losses will be pared, as the recovery in demand for stocks seen since November continues for the rest of December.
There were 7 stocks that contributed to the rise in the all Jamaica main market index, the leading ones being Cable & Wireless with 213 percent increase, Kingston Properties up 67 percent, Hardware & Lumber 31 percent, Seprod 30 percent Pan Jam 13 percent and Grace 11 percent.

This market is going much higher

The main market had 11 stocks gaining at the last traded prices and only 1 declining, at the end of trading, pushing the market indices to their highest point since early May this year.
Technically, the market has broken through resistance at 82,000 points on the all Jamaica Index on the November 19, retreated a bit but seems to be moving away from that point now. The next target is 91,000 points, the level reached in December 2012, which could well be reached by year end. The latest break of the 82,000 is the first of three attempts that the market has made to break through the descending trendline going back to late 2011 that has been successful. Supporting the move upwards, is the crossover of the short-term moving average line over the medium term moving average, the shortage of supply of most stocks and the lowering on Treasury bill rates, starting earlier this year and continuing up to the latest auction in November.
In trading on Friday, Grace Kennedy was the leading stock trading on Friday with 2 million units with a value of $120.7 million this was followed by Scotia Group with 258,000 shares valued at $5.2 million and Carreras with 123,000 units with a value of $4.5 million.
